Filingpoint Expert The name of any Company is its identity. Therefore, it is the most monumental asset for the brand's success. Changing the name of a company is a very crucial activity that requires the approval from the Registrar of Companies (RoC).
The process involves convening an Extraordinary General Meeting (EGM) to pass a special resolution for changing the company name. The board should send a notice of the EGM to all shareholders at least 21 days prior to the meeting date. The company should also amend its Memorandum of Association (MOA) and Articles of Association (AOA) to reflect the new name.
Once the EGM has approved the new name, the authorized director or company secretary should apply for reservation of the same with the RoC using RUN (Reserve Unique Name) facility. The application should be made in accordance with the naming guidelines specified in the Companies Act 2013.
After RUN name availability check, the RoC will approve the proposed name and issue a unique name approval number. The company should then file MGT-14 and INC-24 with the ROC. INC-24 should include the SRN of MGT-14 and a copy of the EGM minutes, along with the special resolution passed by the company for the change in name.
Once the ROC has verified the documents and accepted the application, it will issue a fresh Certificate of Incorporation with the new company name. The company should update its legal and financial documents to reflect the new name, including contracts and bank accounts. It should also inform customers, vendors, and employees about the name change to avoid confusion or misunderstandings.
