The Filingpoint MOA and AOA of a company are the  documents based on which the structure of any type of business entity is built. They are drafted during the incorporation and registration of a company and provide the precise relationship with shareholders. It is a legal document and thus, alterations in the MOA can only be made after following a strict process which requires convening a board meeting and a general meeting, passing of a special resolution and filing of the required forms with the Registrar of Companies.

The objects clause of the MOA defines the main sphere of operations and areas ancillary and incidental thereto for which the company is being incorporated. A Company cannot undertake any activities that are outside the scope of its objects as it would be violating the doctrine of ultra vires. If a company does so, it can be legally challenged in court.

Name Clause: The MOA contains the name of the Company along with a last word like Limited, OPC Private Limited etc based on the type of Company being formed. Changes to the name of the Company can be done after obtaining the approval from the RoC and shareholders through a special resolution.

Registered Office Clause: The registered office address of the Company is mentioned in the MOA. The registered office can be changed within the state or shifted to another state but needs to get approved by the RoC and shareholders through a special resolve.
